Due Diligence is the one major opportunity to closely examine the target Company.  Once the investment strategy is clearly understood, assemble a team of experts to carefully review the operations, focused on Validating the Valuation assumptions, identifying upsides and downsides, and beginning the integration planning.  All functions and all locations are subject to review, based on a materiality judgement, and should consider People, Processes, and Plant/Assets as represented in the financial statements (actual and projections).  The Due Diligence Review will be a business review, and not just a review of financial statements.  Keep the Due Diligence team intact, and make them responsible for the successful integration to increase the probability of success.
